ResolvOps — Effective May 2025 · Governing law: Province of Ontario, Canada
1. Who We Are
ResolvOps ("we", "us", "our") is a technology and web design service operating in Ontario, Canada. By engaging our services, booking a call, or making a payment, you ("the client") agree to the terms set out below. These terms apply to all services we offer, including AI automation systems and custom web design.
2. AI Automation Services
What's included: Your plan covers the build, configuration, training, hosting, and ongoing management of your AI agent as described on the pricing page at the time of sign-up. All agents are custom built for your business — not shared, not templated.
Setup fee: The one-time setup fee is due before build work begins. This fee covers onboarding, agent training, testing, and go-live. It is non-refundable once build work has started.
3-month trial: Monthly fees do not begin until the end of your first full month of service. You may cancel at any time during the 3-month trial period with no penalty, no fee, and no questions asked. Cancellation must be requested in writing (email is sufficient).
After the trial — 1-year agreement: Continuing past the trial period constitutes acceptance of a 1-year service agreement at the standard monthly rate for your plan.
To cancel after the trial: 30 days written notice required.
Early exit before the 12-month term ends: remaining months billed at 50% of the monthly rate.
Your data, leads, contacts, and booking records are always yours. We export and hand over everything cleanly on cancellation.
60-day advance notice provided before any automatic renewal.
AI accuracy: Your agent is trained specifically on the information you provide. We do not guarantee that the agent will never produce an incorrect response, and we are not liable for any outcome arising from information provided by the AI. We correct any confirmed errors promptly at no additional cost.
3. Web Design Services
Scope of work: Each web design project is scoped individually. What is included — number of pages, features, integrations — is confirmed in writing before build work begins. Work outside the agreed scope is quoted separately.
Client responsibilities: The client is responsible for providing all required content (text, images, logos, brand assets) within 5 business days of project start. Delays in content delivery extend the delivery timeline accordingly.
Revisions: Two rounds of revisions are included in every package. Additional revision rounds are billed at $75/hr.
Delivery timeline: We target delivery within 7 business days of receiving all required content. Complex builds (Business Pro and Elite) may take up to 14 days. Timelines are estimates, not guarantees.
You own the code: Upon receipt of final payment, full ownership of all code, design files, and assets we created transfers to you. We retain the right to display the completed work in our portfolio unless you request otherwise in writing.
Hosting: We do not host your website. Hosting is set up in your name and on your account. We assist with setup at no additional cost. Ongoing hosting fees (~$15–25/mo) are paid directly by you to your hosting provider.
AutoBook integration: AutoBook (online booking) is included in all web design plans. The booking platform (Cal.com or equivalent) is set up and connected during build. Ongoing calendar syncing and scheduling updates are the client's responsibility unless a maintenance retainer is in place.
30-day post-launch support: After launch we provide 30 days of bug fixes and minor adjustments at no cost. This covers technical issues, not new features or content changes.
Website maintenance retainer: Optional ongoing maintenance (content updates, security patches, SEO, hosting support) is available separately. Pricing is agreed on a per-client basis.
4. Payments
Setup fees and one-time web design fees are due in full before work begins.
Monthly AI service fees are invoiced at the start of each billing period.
Accepted payment methods: e-Transfer, credit card (via Stripe), or direct bank transfer.
Invoices not paid within 14 days of the due date may result in service suspension.
All prices are in Canadian dollars (CAD) unless stated otherwise.
5. Limitation of Liability
ResolvOps is not liable for any indirect, incidental, or consequential damages arising from use of our services, including but not limited to lost revenue, missed bookings, or data loss resulting from third-party platform outages. Our total liability in any circumstance is limited to the amount paid by the client in the 30 days preceding the claim.
6. Privacy & Data
We collect only the information necessary to deliver your service. We do not sell, share, or use your business data for any purpose other than operating and improving your service. On cancellation, all client data is deleted from our systems within 30 days of the final handover, unless retention is required by law.
7. Changes to These Terms
We may update these terms from time to time. Active clients will be notified by email at least 30 days before any material change takes effect. Continued use of our services after that date constitutes acceptance of the updated terms.
8. Governing Law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.
